Honeybee Toys TERMS AND CONDITIONS 2020

1. Acknowledgement and acceptance of terms and conditions:

By establishing an account and purchasing products with Honeybee Toys you expressly agree to be bound by these Terms and Conditions.  Honeybee Toys may amend these terms and conditions from time to time. By placing an order you acknowledge that you have read and agreed to these Terms and Conditions.  Amendments to these conditions will be available online after June 2018 or advised in writing. Your continued operation of your account and placement of orders after any amendment becomes effective constitutes an agreement by you to abide by and be bound by these Terms and Conditions, as so amended.

2. Account Approval

1. To apply for an account with Honeybee Toys you must be a registered retail business, hold an ABN, be registered for GST and have a permanent place of trading whether it be a bricks and mortar store or a live website, or be an approved educational/preschool supplier.

2. Honeybee Toys represents a range of boutique products and quality handmade and premium Brands. Due to their handcrafted nature our products are not mass produced and are therefore available in limited supply.  Honeybee Toys therefore reserves the right to select businesses that suit our products, ethos and brands on an individual basis.  We work with businesses that share our passion for high quality children’s toys, child development, and a focus on customer service and product knowledge. We do not supply:  market stalls, party plan, Facebook only businesses, auction sites, pop up stores or kiosks, stores with gimmicks such as website spinners etc.

3. Honeybee Toys approves all accounts on a Brand by Brand basis. Account access to Brands based on your application does not automatically entitle you to purchase all Brands in our range.  Access to Brands is given on an individual basis at the discretion of Honeybee Toys.

3. New Account holders

1. As of 2015 all new accounts operate on a Proforma Invoice.

2. Payment on receipt of all proforma invoices is preferred within 48 hours. Proforma orders are irrevocable and cannot be cancelled by the Purchaser.  The Purchaser must pay the total of the invoiced cost of the Goods supplied within 7 days of receipt of the invoice.  Failure to pay the invoice within the time frame will result in the order being cancelled and the stock redistributed and may result in the account being permanently closed.

4.Existing Account Holders:

1. Payment terms are strictly 30 days.

2. Overdue accounts will result in orders being withheld until payment is received and processed.

3. 2% per month will be charged on all overdue accounts & legal cost for recovery of debts will be passed onto the reseller. All goods remain the property of Honeybee Toys until paid for in full.

5.Minimum Orders

1. The initial minimum order is $500 ex GST and subsequent orders are $350 ex GST. GST is charged at a rate of 10% on all orders.

2. Honeybee Toys maintains an active customer base and inactive accounts will be periodically reviewed and closed without notice.

3. Minimum numbers of items per products are required where the product comes in minimum qtys or boxed qtys. Boxed qtys will not be broken.

4. Wobbel Boards must be ordered in minimum quantities of 2 ie. 2 original size (any colour), 2 XL, 2 360.

6.Delivery/FREIGHT

1. Freight is charged at cost.

2. Costs incurred due to delivery issues will be the responsibility of the purchaser.

7.Receipt of Goods

1. It is the responsibility of the purchaser to inspect all goods upon delivery for faulty items.  Faulty items should be reported within 7 days and a photo of the item provided by email.  Faulty items will be replaced or credited on the next invoice.

2. Any discrepancies with orders must be advised immediately.

3. Goods are delivered from the warehouse and risk passes to the purchaser at that time.

4. Honeybee Toys will not accept responsibility for any product damaged in transit if the product has been signed for in good order and condition.

5. Honeybee Toys will not be responsible for damages to product carried by the purchasers own nominated courier.

6. Honeybee Toys will not be held responsible for goods left by couriers without obtaining a signature where authority to leave the goods has been granted by the purchaser. Authority to Leave is constituted when the Purchaser provides this instruction in email or as outlined in Special Instructions when making an online order.

8.Faulty Items/missing parts

1. Under Australian Consumer Law any customer is entitled to a replacement or refund for a manufacturing fault or failure. It is the responsibility of the purchaser/account holder to ensure their own Trading Terms and Conditions include the provision that all manufacturing faults be reported to their own business within 7 days of delivery of the goods in order to meet with Honeybee Toys conditions outlined in point 2.

2. To enable a return or refund due to a manufacturing fault, Honeybee Toys require an email with 10 days of purchase which includes the following information: proof and date of purchase by the end customer, a clear description and photograph of the fault. Faults will be reported to the Manufacturer and if deemed a manufacturing fault, the product will be replaced or refunded to the account holder.  It is the account holder’s responsibility to deliver the replacement product or credit to the end customer.  In the case of missing parts, replacement parts will be forwarded to the account holder and it is the account holders responsibility to delivery to the end customer.

3. Honeybee Toys is not responsible for goods damaged in transit to the purchaser’s customer, or to any goods damaged through the normal wear and tear of play or through accident by the end user.

9.Back Orders

1. Items out of stock will automatically be placed on backorder for a maximum of 60 days. In the case of replenishment of stock taking longer than 60 days, backorders will be cancelled unless otherwise agreed upon.

2. Freight is charged on all back orders.

3. Customers can request not to receive back orders.

10.Prices

1. Prices are updated at the beginning of each calendar year (February), however, due to fluctuations in exchange rates or other causes, prices may also be subject to change without notice.

11.Use of Images

1. All product images on our website (product only on white background) may be used by active accounts. Images may change in appearance without notice.

2. Lifestyle images are copyright to Honeybee Toys and are not to be used without prior written permission.

3. Unauthorised use of our images without an active retail account may result in legal action.

12.Product Variations

Due to the handmade nature of the Brands we represent and the materials used in their manufacture, products may vary in their appearance.  Differences in wood grain, wood knots and hand painted details do occur.  These are considered part of the charm and appeal of handmade toys.  Where the manufacturer has deemed these variances to be acceptable, Honeybee Toys will not accept returns on product variations.

13.Social Media

Under no circumstances must the Reseller in any way promote products or images on social media that imply that they have manufactured the products or, imply exclusivity, or imply or use deception in any way that misleads the public as to the origin of the products.  Misuse of images in this way, or misleading information or branding will result in the immediate closure of the account and may result in legal action.  If tagging is used in Social Media, tagging of Brand names must be accurate and truthful.

14.Refusal to Supply

1. Honeybee Toys reserves the right to select applicants and to open and close accounts at our own discretion.

2. Honeybee Toys reserves the right to refuse to supply goods and services without notice to any account holder in the event these terms and conditions have been breached, where the purchaser changes the way they conduct business, conducts business in a different way than outlined in their application, and at our discretion for any other reason where Australian Consumer Law permits.

3. Honeybee Toys maintains an active customer base and accounts may be closed due to inactivity or not meeting a base line order per annum.

4. Honeybee Toys reserves the right to refuse supply or discontinue supply if the purchaser stocks BRANDS that copy or are a close facsimile to items as produced by our Suppliers.

15.Privacy Act Consents

Account holders and account applications hereby give consent to Honeybee Toys to disclose certain information to a third part such as a Credit Collection or Reporting Agency for payments which have been overdue for 60 days or more.

16.Inaccuracy Disclaimer

1. Occasionally information on our website may contain typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing and availability. Honeybee Toys reserves the right to correct any errors, inaccuracies or omissions and to change or to update information at any time without prior notice (including after you have submitted your order).

2. Product photos are as accurate as possible, however some slight variations in colour or small changes in products may occur from time to time. Honeybee Toys does not accept returns where slight variations to photos occur.

17.Confidentiality

Honeybee Toys wholesale prices, website access and pricing are restricted to authorised customers only.  Prices are confidential and must not be released to unauthorised parties.  Detection of unauthorised usage or account sharing will result in account suspension and/or legal action.

18.Selling without stock on hand

Resellers must under no circumstances publish any photos or advertise product for sale without having the product in stock unless express written permission has been given.  New written permission must be sought EACH and EVERY time.  It is the responsibility of the purchaser to ensure they have the ability to fill customer orders.  Orders will  not be filled for stock put up for purchase without owning the stock.

19.Breaking of sets/removal of labels

It is not permitted under any circumstances to break up sets of Joguines Grapat mandala pieces or any loose parts.  This is at the express order of the Manufacturer.

Furthermore, Honeybee Toys will not accept any legal liability or responsibility for products sold from any of our BRANDS if the Retailer removes packaging or labelling that results in the safety standards being removed from the product including the breaking up of sets.  It is the responsibility of the Retailer to ensure that all labelling remains intact.
